FOREIGN TRADE CONTRACTS - OFFICIAL CLASSIFICATION

As of 1 September 2026, Uzbekistan's foreign-trade monitoring rules define 6 types of “foreign trade contracts”. Export/import by invoice has separate operation codes and is not a separate contract type.

01 · Export contract

Between a resident and a non-resident for export of goods, works or services. RANDARA aligns scope, HS/standards, Incoterms, delivery, payment, acceptance, warranty, liability and E-kontrakt data.

02 · Import contract

Import of goods, works or services. Before signing, we review classification, value, duties/taxes, permits, incentives, banking and logistics risks.

03 · Barter contract

Exchange of goods/works/services without cash settlement. Current rules require consideration of advance delivery of the import side or counter bank guarantees.

09 · Export contract within the Republic

A special export model: a direct foreign-currency contract with a non-resident for goods/works/services produced and intended for use within Uzbekistan.

18 · Procurement/Purchase contract

An Uzbek resident buys goods from a non-resident without importing them into Uzbekistan, or while they move in transit. It is monitored together with the related realization contract.

19 · Realization/Resale contract

Sale to another non-resident of goods acquired under a purchase contract. Evidence of goods movement, the destination-country import declaration, transport documents and proceeds timing are critical.

INVOICE-BASED FOREIGN TRADE OPERATIONS

14 · Export by invoice

Export of goods/works/services by invoice without a separate export contract where permitted, with settlement through a commercial bank. Exceptions and E-kontrakt data must be checked.

15 · Import by invoice

Import by invoice without a separate import contract where permitted. Invoice minimum data, product characteristics and bank/customs data must align.

CONTRACT ENGINEERING - DESIGN BEFORE SIGNING

  • Preamble: contract number, place, date, full legal names and signing authority.
  • Scope: precise description of goods/works/services, characteristics, assortment, quantity, quality, standards, model/brand and registration/conformity details where applicable.
  • HS code and unit of measure; for used machinery - service life/depreciation information where required.
  • Incoterms rule and exact named place of delivery (port, station, airport, terminal, etc.).
  • Delivery / works / services timeline and acceptance mechanism.
  • Contract value, unit price and currency; for equipment + installation + commissioning + training + royalty, separate pricing of components.
  • Payment currency, method and timing; if payment currency differs from contract currency, the conversion rate and source.
  • Country of origin, place of works/services and manufacturer.
  • Liability, penalties, warranty, force majeure, claims and dispute resolution.
  • Banking, postal and shipment details; payer/shipper/consignee are separately identified if different from the contracting party.
  • Changes are documented by amendment and the E-kontrakt data is updated where required.
  • If the contract is not in the state language, account for the requirement to translate it into the state language and certify the translation as required.

The structures below do not replace the 6 official contract types; they are practical legal/commercial models that must be mapped to the appropriate official E-kontrakt category based on the transaction's actual substance.

  • Works / Construction / EPC-related Contract - construction, installation, commissioning and integrated project works.
  • Equipment Supply + Installation + Commissioning + Training - separate pricing of equipment, installation, commissioning, training and royalty components.
  • Tolling / Processing Agreement - toll manufacturing and processing of customer-owned raw materials.
  • Repair & Return / Warranty Replacement - outbound repair, warranty replacement and return of defective goods.
  • Lease / Financial Lease / Rental - cross-border lease/rental of equipment and machinery.
  • Agency / Commission / Commercial Intermediation - agency, commission and lawful commercial intermediation.
  • Distribution / Dealer Agreement - distributor and dealer relationships.
  • Consignment - consignment structure aligned with warehousing, title and sales recognition.
  • Investment / Project Supply Agreement - supply of equipment, machinery and materials for investment projects.
  • Licensing / Royalty / IP components - proper separation of software, technology, license and royalty elements within a complex transaction.
  • Triangular / Multi-party Trade Agreement - clear allocation of seller, shipper, payer, buyer and consignee roles in multi-party transactions.
